Simple LLC (s.r.o.) — 1 shareholder & 1 managing director

The most common choice for international entrepreneurs entering the Czech market. Minimum share capital of CZK 1, full foreign ownership permitted, and simple management structure. Ideal for startups, holdings, and operating companies run by a single founder.

Why the Czech Republic

A strategic hub at the heart of Europe

The Czech Republic offers stable law, EU membership, and cost efficiency that make it a preferred jurisdiction for international business.

01

Legal Stability & EU Framework

Czech commercial law is fully harmonised with EU standards. Courts are reliable, contracts are enforceable, and your rights as an investor are protected under European law.

02

Central European Location

Prague is a two-hour flight from most European capitals. The Czech Republic provides logistical and legal access to the entire EU market from a single, central base.

03

Cost Efficiency

Compared to Western European jurisdictions, Czech company formation and ongoing operational costs are significantly lower — without compromising legal quality or market access.

04

Qualified Workforce

The Czech Republic combines skilled people, solid infrastructure and easy access to nearby European markets, which makes it a practical base for international businesses.

05

Equal Treatment for Foreigners

Foreign entrepreneurs operate under the same legal conditions as Czech citizens. There are no additional restrictions, no mandatory local partners, no profit repatriation limits.

06

Fast Registration

Once all required documents are provided, company registration typically takes only a few business days — one of the fastest in Central Europe.

Why this matters to me

"Foreign founders should not have to guess how Czech company law works. Our role is to make the process clear, legally sound and manageable from abroad."

Expanding into a new country is never straightforward. The language, the regulations, the bureaucracy — it all adds up. We have seen businesses lose weeks, and sometimes far more, navigating formation processes without proper legal guidance.

At MACEK.LEGAL, we have built a process that removes that friction entirely. One attorney responsible for your case, bilingual documentation at every step, and a clear timeline from day one.

We do not outsource your case to junior staff. You speak directly with the attorney handling your formation. That is how we can guarantee certainty, not just completion.

FAQ

Common questions

If you do not find the answer here, contact us directly.

Can a foreigner fully own a Czech company? +
Yes. Czech law permits 100% ownership of a Czech company by a foreign individual or legal entity. There is no requirement for a local partner or co-founder. You can also act as the sole shareholder and the sole director.
Do I need to travel to the Czech Republic? +
In most cases, no. We manage the entire process via a power of attorney. You provide the required documents and sign the power of attorney — this can usually be done remotely. We take care of everything from there.
How long does company registration take? +
Once all required documents are received, registration in the Commercial Register typically takes only a few business days. The overall timeline depends on document preparation, which varies by country of origin. We provide a realistic estimate after the initial consultation.
Can I run my Czech company from abroad? +
Yes. Czech regulations support flexible management structures. You can manage your Czech company entirely remotely — digital signatures, online banking, and remote directorship are all standard practice.
Can I transfer profits out of the Czech Republic? +
Yes, freely. There are no restrictions on profit repatriation from the Czech Republic. Dividends can be transferred to any foreign bank account, subject to applicable withholding tax rules (typically covered by double taxation treaties).
